Recruiter Terms of Service

These Terms govern your use of the HireUp platform as a recruiter or agency. By registering or using the platform, you agree to these Terms and our Privacy Policy.

1. Eligibility and Account

1.1. Professional Standards

You represent that you are a professional recruiter or recruitment agency with the necessary licenses, registrations, and expertise to provide recruitment services in your jurisdiction(s).

1.2. Accurate Information

You agree to provide complete and accurate profile information and to keep it updated, including contact details, areas of specialization, and payment information.

2. Use of Platform

2.1. Access to Roles

Role availability is determined by Employers. HireUp may vet, throttle, or withdraw access to roles at any time to protect data, compliance, service integrity, or Employer preferences.

2.2. No Misrepresentation

You will not misrepresent Employer roles, Candidate qualifications, compensation, or process stages; and you will promptly relay material updates received from Employers or Candidates.

3. Candidate Submissions

3.1. Consent and Accuracy

You warrant that each Candidate has consented to be represented to the specific role and Employer, and that the information submitted (CV, profile, assessments) is accurate to the best of your knowledge.

3.2. Ownership Window

Unless otherwise stated by the Employer for a given role, a Candidate submission via the Platform establishes your ownership for that role for a period of 6 months from the submission date, provided the Candidate has not been introduced for that role by another party or directly by the Employer.

3.3. Duplicates

Where duplicates exist, the Employer’s records and Platform timestamps may be used to determine valid ownership for a specific role. HireUp may mediate but is not the final arbiter of disputes between recruiters and Employers.

4. Fees, Commissions and Payment

4.1. Commission Basis

Commissions are typically a percentage of the Candidate’s first‑year gross base salary (excl. signing bonuses, equity, allowances), as advertised or agreed for the role. Final terms are governed by the Employer’s role posting and any written confirmation issued through the Platform.

4.2. Payment Timing

Unless otherwise specified, commissions become payable after the Candidate’s start date and Employer invoice settlement. HireUp will disburse Recruiter commissions within a reasonable period after Employer payment clears, using the payment method on file.

4.3. Guarantee & Clawback

If an Employer’s placement includes a replacement guarantee period, commissions may be subject to clawback or pro‑rata adjustments where the Candidate leaves during the guarantee window, unless the Employer waives such terms in writing.

5. Non‑Circumvention & Non‑Solicitation

You agree not to bypass the Platform to avoid fees owed to Recruiters or HireUp. Where HireUp or an Employer has made an introduction through the Platform, you will not solicit or induce the other party to circumvent Platform processes for a period of twelve (12) months from the latest of: (i) the relevant introduction, (ii) Candidate submission date, or (iii) role closure date.

6. Confidentiality & Data Protection

All Employer materials, compensation details, and Candidate information are confidential. You will not disclose such information to any third party except as required to service a role with the Candidate’s consent. You agree to comply with applicable data protection laws and our Privacy Policy.

7. Code of Conduct

  • No spam, mass unsolicited outreach, or scraping of Employer or Candidate data.
  • No discrimination or unlawful practices in sourcing, screening, or presenting Candidates.
  • Timely, professional communication with Candidates, Employers, and HireUp.

8. Warranties & Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” HIREUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIREUP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. HIREUP’S AGGREGATE LIABILITY IN CONNECTION WITH THE PLATFORM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

10. General Provisions

  • These Terms may be updated from time to time. Continued use constitutes acceptance of updates.
  • Governing law: Republic of South Africa. Disputes to be resolved per our standard dispute clause.
  • If any provision is unenforceable, the remainder remains in effect.
